Terms of service

DRAFT · Not legal advice. This page is a working draft and must be reviewed by a qualified lawyer before Dawni launches. Items in [BRACKETS] are placeholders.

Draft version 0.1 · last edited 17 October 2026

1. About these terms

These terms are a contract between you and [FULL NAME], a sole trader (empresário em nome individual) registered in Portugal, of [ADDRESS], NIF [NIF], email [CONTACT EMAIL] (“Dawni”, “we”). They apply when you join the waitlist, create an account or buy a membership. If you are a consumer, nothing in these terms takes away the rights you have under the law of the country where you live.

2. Who sells the membership

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the merchant of record for all our orders. Paddle provides all customer service inquiries and handles returns. [CHECK THIS WORDING AGAINST PADDLE’S CURRENT REQUIREMENTS] Paddle’s own buyer terms also apply to your purchase. We provide the Dawni service itself.

3. The service

Dawni places automated wake-up phone calls to the number you give us, at the times and on the days you choose. If you don’t confirm you’re up by pressing 1, Dawni calls back according to your settings and stops trying no later than 45 minutes after your wake-up time. On a mobile, Dawni can send one text if it can’t reach you.

Dawni is not an alarm clock replacement for anything critical. Phone networks, do-not-disturb settings, call blocking, signal and power can all stop a call from reaching you. Please keep a backup alarm for flights, exams, medication, work shifts and anything else where oversleeping would cause harm or loss. Dawni is not an emergency, medical or safety service.

Before calls start, we may ask you to confirm your number with a code. Calls start when we launch; until then you can set up your account and schedule, but no calls are made and nothing is charged.

4. Your account

You must be 18 or over [CONFIRM] and give a phone number you’re allowed to use. Only schedule calls to your own numbers, or numbers whose owners have agreed. Keep access to your email secure, since sign-in links are sent there.

5. Free trial, price and auto-renewal

6. Cancelling

You can cancel at any time in one click from Settings, Membership (this opens Paddle’s secure customer portal). Cancelling stops future renewals; calls continue until the end of the period you’ve already paid for. You can also cancel by emailing [CONTACT EMAIL].

7. Right of withdrawal

If you’re a consumer in the EU or UK, you have 14 days to withdraw from the contract without giving a reason. Details, including what happens if you asked Dawni to start straight away, are in Refunds and withdrawal. You can use our withdrawal form.

8. Fair use

Don’t use Dawni to harass anyone, to call numbers without permission, or to overload or interfere with the service. We may suspend accounts that do, after warning you where reasonable.

9. Changes and availability

We work hard to keep Dawni running, but calls can occasionally fail or be delayed. If a problem on our side means calls don’t happen for a significant time, contact us and we’ll put things right, which may include a partial refund. We may update the service and these terms; we’ll give reasonable notice of changes that affect you, and you can cancel if you don’t agree.

10. Liability

We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable, or for business losses. Nothing here limits liability where the law doesn’t allow it, including for death or personal injury caused by negligence, or for fraud, or your statutory rights as a consumer. [LAWYER TO REVIEW CAPS AND EXCLUSIONS UNDER PORTUGUESE AND UK LAW]

11. Complaints and disputes

Please contact us first at [CONTACT EMAIL]; we aim to reply within [5] working days.

Consumers in Portugal can use the electronic complaints book, the Livro de Reclamações.

Alternative dispute resolution: in case of dispute, consumers may contact [ADR ENTITY NAME, WEBSITE AND ADDRESS, e.g. a Portuguese consumer arbitration centre]. [CONFIRM WHICH ADR ENTITY APPLIES AND WHETHER WE COMMIT TO USING IT]

12. Law

These terms are governed by Portuguese law. If you’re a consumer, you also keep the protection of the mandatory laws of the country where you live, and you can bring proceedings in your local courts.
